Software License Agreement
Effective: 20 September 2026
This agreement applies to Invicast hosted and managed software services, including Invicast Logistics Management System (ILMS), GPTT and AI Voice Agent. It supplements the General Service Agreement and the applicable Order.
1. Licence model
Invicast software is licensed as a service for the subscription or service period stated in the Order. The software is not sold. No ownership, title, source code or intellectual-property right is transferred to the Customer.
2. Limited right of use
Subject to payment and compliance with the Order and applicable agreements, Invicast grants the Customer a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the applicable software solely for the Customer's authorised business purposes during the service period.
3. Ownership
Invicast and its licensors retain all right, title and interest in the software, source and object code, interfaces, workflows, databases and database structures, documentation, designs, algorithms, models, prompts, configurations, trademarks, improvements, modifications, updates, derivatives and related technology, except for Customer Data and third-party material owned by their respective owners.
4. Restrictions
Except to the extent a restriction is prohibited by applicable law, the Customer must not copy, reproduce, modify, translate, adapt, reverse engineer, decompile, disassemble, discover source code, create derivative works from, sell, assign, transfer, sublicense, lease, rent, redistribute, publish, commercially exploit, provide bureau access to, circumvent technical restrictions on, remove proprietary notices from, or permit unauthorised access to the software. Credentials may be used only by authorised users and may not be shared outside the licensed account.
5. Hosted and managed service
ILMS, GPTT and AI Voice Agent are provided as managed software services. Invicast may operate, maintain, patch, update, modify or replace components of the service. Features, integrations and dependencies may change where reasonably necessary for security, compliance, maintenance, provider changes or service improvement, subject to any express commitment in an Order.
6. Customer Data
The Customer retains its rights in Customer Data. The Customer grants Invicast the limited rights necessary to host, process, transmit, back up and otherwise handle Customer Data to provide, secure and support the service. Personal data is handled in accordance with the Privacy Policy, Data Protection Policy, applicable law and any applicable data-processing terms.
7. Customer responsibilities
The Customer is responsible for its users, credentials, lawful data, configurations, instructions, integrations, devices and use of outputs. The Customer must evaluate the software for its intended operational requirements and maintain appropriate business-continuity measures for activities that cannot tolerate interruption.
8. As-is service; no particular-purpose guarantee
To the maximum extent permitted by applicable law, and except for an express written commitment in an Order, the software is provided “as is” and “as available”. Invicast does not warrant that the software will be uninterrupted or error-free, that every defect will be corrected, or that it will achieve the Customer's particular purpose, intended result, revenue, savings, operational outcome or compatibility requirement. The Customer is responsible for determining whether the service is suitable for its intended use.
9. AI-specific terms
AI Voice Agent outputs may be inaccurate, incomplete, variable or unsuitable for a particular decision. The Customer must apply appropriate human review and must not rely on an AI output as a guaranteed statement of fact or outcome. The Customer is responsible for prompts, knowledge sources, disclosures, permissions, recordings and downstream use.
10. Availability and dependencies
Availability may depend on internet connectivity, telecommunications networks, hosting infrastructure, third-party APIs, devices and other dependencies outside Invicast's control. Any service level or service credit applies only when expressly stated in the applicable Order or service-specific schedule.
11. Limitation of liability and remedies
To the maximum extent permitted by applicable law, Invicast is not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or loss of profit, revenue, opportunity, goodwill, anticipated savings or data. Except where an applicable Order expressly provides a remedy, Invicast does not owe compensation, reimbursement, service credit or damages merely because the software does not achieve the Customer's intended result.
Invicast's aggregate liability for the software is subject to the limitation of liability in the General Service Agreement. Nothing in this agreement excludes or restricts liability, remedies, data-subject rights or other rights that applicable law does not permit the parties to exclude or restrict.
12. Suspension and termination
Invicast may suspend access for non-payment, security risk, unlawful or abusive use, material breach, provider or regulatory requirements, or other grounds stated in the General Service Agreement or Order. When the licence or service ends, the Customer's right to access and use the software ends. The Customer must cease use and may not retain or reproduce the software or proprietary materials except where expressly authorised in writing.
13. Relationship with other agreements
This Software License Agreement supplements the General Service Agreement. A signed Order or expressly applicable service-specific schedule controls over this agreement only to the extent of a direct conflict. The Privacy Policy and Data Protection Policy govern applicable personal-data processing.
Important: Contractual exclusions and limitations apply only to the extent permitted by applicable law. Nothing in this agreement removes a right or remedy that cannot lawfully be waived.
